Deal Secures IP, Talent and Brand After Leadership Exodus

Artificial intelligence startup Cognition has acquired Windsurf, the AI coding company that recently lost its CEO and top talent to Google. The acquisition includes Windsurf’s intellectual property, brand, product, trademark and remaining workforce. While terms were not disclosed, the move marks another escalation in the ongoing talent war gripping the AI sector.

The acquisition comes just days after Windsurf co-founder and CEO Varun Mohan joined Google, following the collapse of a reported $3 billion acquisition deal with OpenAI earlier this year. Google confirmed it would pay $2.4 billion in licensing and compensation fees to secure talent and assets previously tied to Windsurf.

Cognition Strengthens Position With Strategic Buy

Cognition is widely known for its AI coding agent, Devin, which helps engineers accelerate software development. With this deal, the startup aims to integrate Windsurf’s capabilities and personnel into its existing operations. The company emphasized that the transaction was designed to treat Windsurf employees fairly and reward them for their contributions.

“All employees will participate financially in the deal, have vesting cliffs waived, and receive accelerated equity vesting,” Cognition CEO Scott Wu stated in a memo. He also emphasized unity following the transition, telling employees, “There’s only one boat and we’re all in it together.”

Windsurf interim CEO Jeff Wang echoed those sentiments, expressing gratitude and pride in the resilience of his team during a turbulent few days. The acquisition now consolidates the remaining team under Cognition’s leadership and safeguards the startup’s technological legacy.

AI Industry Faces Rising Competition for Top Talent

This latest move highlights how competitive the AI landscape has become. Major players such as Google, Meta and OpenAI are aggressively acquiring companies and offering multi-billion-dollar deals to secure engineering talent and next-generation AI capabilities. The speed and scale of recent moves suggest the industry is in a full-fledged arms race to dominate AI development.

Cognition, reportedly valued at close to $4 billion as of March, has raised substantial capital to support its growth. Both Cognition and Windsurf count Peter Thiel’s Founders Fund as a key backer. Windsurf is also supported by Greenoaks, Kleiner Perkins and General Catalyst, reflecting strong institutional interest in early-stage AI startups.

With Windsurf now folded into Cognition, industry observers will watch closely how the combined team develops and scales its technologies. The integration of key personnel and platforms may enhance Cognition’s ability to compete with tech giants in the increasingly crowded AI coding space.

“There’s never been a more exciting time to build,” Wu wrote to his staff, signaling that the startup is setting its sights on aggressive product development and expansion in the months ahead.
